Description  

Position Summary:  

The successful candidate will assume a wide range of responsibilities, all of which will require critical thinking, innovation, collaboration, and integrity. This person will be responsible for drafting and negotiating various complex commercial agreements and ensuring alignment with various resources, including written instructions and approved terms. This position will assist in building best practices and operational effectiveness across the legal team and other business functions, including support on contract lifecycle management, development, and implementation. The candidate will also train relevant stakeholders on contracting best practices. Work will be performed independently, but with attorney supervision. The candidate must demonstrate an ability to interact with all levels of the organization as a key individual contributor.  

Primary Responsibilities  

  • Analyze, interpret, and negotiate sophisticated provisions in a variety of agreements, including, but not limited to, sales agreements, NDAs, consulting agreements, service agreements, BAAs, and other agreement types while ensuring alignment with Company’s policies.  
  • Coordinate with cross-functional teams during contract review and provide guidance to internal and external customers on commonly requested edits, non-standard terms, policies, questions, etc.  
  • Review and revise standard and non-standard agreements to adhere to Company’s standard policies and procedures.  
  • Assist with legal review and response to requests for proposals (RFPs) and requests for information (RFIs) as required for the commercial opportunity.  
  • Manage workflow for contract review process, beginning with receipt of requests for contract creation through routing for signatures.  
  • Develop and implement legal operations and processes.  
  • Execute assigned projects as determined by the needs of the Legal department.  
  • Create and provide training material and conduct internal contract-related trainings.  
  • Assist in identification, development, and implementation of new contract and legal operations policies and processes.  
  • Manage scope of the work and schedule to ensure customer satisfaction.  
  • Employ and exercise judgment to analyze issues and make recommendations with attorney supervision.  
  • Perform other duties as assigned.  

Education, Skills, & Experience  

  • Bachelor's degree with 3+ years relevant experience managing contracts (including drafting and negotiation) in a corporate environment. A Professional Certification is a plus.  
  • Associate's degree with a Professional Certification and 5+ years relevant experience managing contracts (including drafting and negotiation) in a corporate environment will be considered.  
  • Law Firm or In House experience is a plus - A combination of the two is preferred.  
  • Significant experience in written and oral negotiations with minimal direction with a clear understanding of when to seek approval.  
  • Prior experience in medical device, health care, life sciences, or clinical diagnostics is a significant plus.  
  • Excellent communication skills to interact with and influence colleagues.  
  • Ability to manage and deliver on a diverse and complex workload while maintaining priorities and proactively anticipating issues.  
  • Creativity, flexibility, initiative, and enthusiasm to achieve results and overcome obstacles; pragmatic business sense able to recognize commercial implications of legal advice and provide practical alternatives.  
  • Collaborative team player able to build positive relationships with colleagues.  
  • Provide legal advice under attorney supervision to colleagues in a productive and supportive manner and maintain polite and professional demeanor in all client, customer, and supplier interactions.  
  • Ability to effectively manage a substantial workload in a fast-paced environment.  
  • Must possess superior decision-making and interpersonal skills, excellent drafting and negotiation skills, attention to detail, and a sense of discretion.  
  • Genuine desire to work in a global business environment that involves broad cultural variety, with a high level of enthusiasm for diversity of work.  
  • Willingness to undertake some travel, including international travel, in support of responsibilities.
