The Role

The Head of Legal is responsible for overseeing all legal and regulatory affairs, ensuring compliance with healthcare laws, regulations, and industry standards. This role involves managing legal risks, advising on healthcare-related litigation, contracts, and business operations, while also leading the development and implementation of compliance programs to ensure adherence to HIPAA, state, and federal laws and. The Head of Legal will play a key role in fostering a culture of compliance, driving risk management strategies, and supporting the company’s commitment to ethical healthcare practices in alignment with value-based care models. This position reports to the CEO and is the head of the department.

Key Responsibilities Of This Role May Include

  •  Provide legal and strategic counsel to management, identifying proactive solutions that satisfy business needs. Areas of focus include structuring value driven, risk-based reimbursement, regulatory analyses of operational and clinical processes, licensure across multiple markets and through virtual care, corporate practice of medicine, and state and federal payment conditions and implications  
  •  In partnership with Finance, oversee any capital raising activities, maintain an accurate and up-to-date capitalization table (including equity issuances and option management), and manage corporate governance documents, such as bylaws, shareholder agreements, and board resolutions; ensure compliance with securities laws and other regulatory requirements while aligning with business needs.  
  •  Analyze and negotiate various arrangements with health plans and other at-risk fiduciaries, providers, employees and vendors including managed care agreements utilizing innovative value based financial models. Manage contract compliance.  
  •  Advise on a range of regulatory matters, including but not limited to: telehealth regulations, commercial and Medicaid reimbursement, corporate practice of medicine, provider and facility licensure and scope of practice, and more.  
  •  Work with and supervise outside counsel when appropriate on healthcare regulatory and corporate matters.  
  •  Review policies, product enhancements, and processes for compliance with applicable healthcare laws and regulations.  
  •  Keep the executive team and company up to date on changes in laws and regulations applicable to the business and oversee legal matters of the business, as well as participate in system-wide strategy regarding implementation of agreements, revenue cycle processes, service delivery, human resources and reimbursement  
  •  Oversee the legal matters of the business, including risk management initiatives, contractual disputes and litigation matters Serve as corporate secretary to the Board  
  •  Serve as Head of Compliance  
  •  Other duties as assigned  

A Strong Candidate Will Demonstrate The Following

  •  Juris Doctor (JD) degree from an accredited law school and active bar membership required  
  •  Minimum of 10 years of legal experience, with at least 5 years in healthcare law, regulatory compliance, or a related field  
  •  In-depth knowledge of healthcare laws and regulations, including HIPAA, Medicare, Medicaid, and federal/state healthcare compliance standards  
  •  Experience in managing legal and compliance risks, particularly within value-based care or similar healthcare delivery models  
  •  Proven ability to advise senior leadership on legal and regulatory matters and translate complex legal concepts into practical business solutions  
  •  Experience working in a value-based care environment  
  •  Familiarity with emerging healthcare trends, such as telemedicine, value-based payment models, and healthcare technology  
  •  Proven track record in managing complex regulatory audits and investigations  
  •  Ability to navigate the intersection of law, business, and healthcare innovation, with a strong focus on ethical decision-making and patient-centered care
