Chief Legal Officer (CLO) – Pontiac Motor Company

Role Overview
Pontiac Motor Company seeks a high-impact Chief Legal Officer (CLO) to lead all legal, regulatory, and risk management affairs as we revive an iconic American performance brand. The CLO will ensure Pontiac’s brand integrity, intellectual property, and corporate governance are safeguarded while navigating the complexities of launching a modern automotive startup. This role will be instrumental in upholding Pontiac Motor Company’s DIME(latin:Dee-May) values: Diversitas, Intellect - Meritas and Equitas—ensuring fairness, excellence, and integrity in all legal and business dealings.
Key Responsibilities
• Diversity: Develop legal frameworks that foster an inclusive, employee-owned business model, ensuring equity distribution is fair, transparent, and legally sound.
• Intellect: Oversee compliance with DOT, NHTSA, EPA, CARB and global vehicle safety regulations as Pontiac Motor Company moves from concept to production, ensuring smart and proactive legal strategies.
• Meritas: Lead intellectual property (IP) protection efforts for Pontiac’s innovations, including patents for the Ram Air Conductive Energy Recovery System (RACERS) and other proprietary technologies.
• Equitas: Ensure ethical and fair legal practices in supplier negotiations, manufacturing partnerships, and investor agreements, aligning with Pontiac’s mission of justice and balance in business.
Additional Responsibilities
• Structure employee equity compensation plans in accordance with SEC compliance and industry best practices.
• Direct legal due diligence for manufacturing partnerships, supply chain agreements, and potential acquisitions.
• Build and lead a world class legal team, establishing best practices for compliance, ethics, and corporate governance.
• Provide legal strategy for fundraising efforts, venture capital agreements, and investor relations.
• Develop internal policies that ensure legal protection while promoting innovation, fairness, and transparency within Pontiac Motor Company.
Qualifications
• JD from an accredited law school; active U.S. bar membership.
• 7+ years of experience in corporate law, automotive IP, or startup legal affairs.
• Expertise in patent and trademark law (strong preference for experience in automotive or propreitary technologies).
• Proven experience in structuring equity for startups and advising on SEC/compliance matters.
• Experience handling OEM partnerships, supply chain negotiations, or manufacturing agreements.
• Strong understanding of NHTSA safety compliance, EV regulations, and liability risks.
• Ability to thrive in a fast-paced startup environment and align legal strategies with Pontiac’s DIME values.
