Responsibilities
- Lead contract negotiations with clients, vendors etc. to explain our standard terms, redlining proposed by In-House legal.
- Collaborate with sales, product, finance, security, privacy etc. teams to propose the right solution to clients, vendors etc.
- Propose revisions and drafts on various types of contracts including non-disclosure agreements, master service agreements and statements of work, general terms and conditions of sales, purchase and distribution agreements, software agreements, consulting contracts for the In-House Legal Counsel review.
- Collaborate with In-house legal to help close the business as soon as possible. Work with in-house counsel to find fair, balanced and workable terms for both the parties. Find creative ways to convince customer/vendor/in-house counsel to close the agreement quickly.
- Be able to work on customer/vendor legal templates
- Work closely with In-House legal in drafting new or updating existing legal templates.
- Conduct legal research as requested to support contract development and internal policies.
- Analyze and document the requirements presented for review and approval by In-house Legal Counsel and Senior Management.
- Review the terms and conditions of requests for proposal from various departments and conduct the contract administration in accordance with company policies, legal requirements and pre-approved standards, and sales/marketing guidelines.
- Prepare amendments and/or letters of notification to existing contracts based on company needs.
- Initiate changes to standard contract templates when business requirements change, submitting the necessary modifications to in-house Legal Counsel and maintaining the template library updated.
- Liaise with other functions such as Sales, Finance, Procurement to ensure proposed terms can be supported by the respective functional areas on new and amended agreements.
- Act as subject matter expert for sales team on all sales programs available to customers, including complex rebate offers, as well as the respective contractual language reflecting such programs.
- Act as a point of contact for the sales team on pre-approved contract templates and utilization of certain in-house technical sales and/or marketing tools to prepare contracts and related amendments
- Perform other duties as assigned by In-house Legal Counsel to support local and international legal work.
Qualifications
- 10+ years of experience in contract development, contract negotiation as a legal/paralegal in a software company.
- Strong knowledge of contract language and formats including pricing and rebate structures for a Software company, preferably a SaaS company. Knowledge of Contract Development.
- Excellent PC skills and systems skills; highly proficient in Microsoft Office suite as well as Adobe Acrobat or similar pdf software.
- Result oriented and self-driven.
- Strong knowledge of working with multiple systems.
- Ability to analyze data for reasonableness, anomalies, trends.
- Excellent interpersonal, communication (written and verbal) and teamwork skills.
- Experience with Sales, Marketing, and Legal contracting processes.
- Must be accurate, detailed and organized.
- Strong analytical and problem-solving skills.
- Ability to prioritize and quickly switch between multiple tasks.
- Ability to work in an international and multicultural environment
- Solid experience working with CRM (Hubspot), CPQ (Dealhub), and CLM platforms.
- Experience of Managing Deal Desk is preferred.
Education Requirements
- B.A. or B.S. in Business.
- Paralegal certification or J.D. from an ABA-Accredited Law School
- Industry standard certification in contract management. E.g. CCM.
Salary Range
- $135,300- $177,600 a year
