Job Description
MBK Real Estate is hiring a Legal Operations Manager to join our team at our Home Office in Irvine, CA!
This role will be 5 days on-site for 90 days and 4 days on-site thereafter.
Job Summary
The Legal Operations Manager is responsible for strategically managing the daily operations of the legal department. This role focuses on developing operational efficiencies in the legal department and ensuring that legal technology platforms are effectively implemented across the organization and supported to meet the organization's needs. In addition, this role is responsible for handling various types of legal matters pertaining to the organization, including corporate maintenance, general corporate governance, preparation of legal documents, contract review and management, and litigation handling and tracking. The candidate should have in-depth knowledge of complex corporate organizational structures, governance, principals, practices, and procedures.
Duties & Responsibilities
Implement and Manage Legal Operations
- Identify opportunities for legal process improvement, including legal technology implementation, process automation and optimization.
- Evaluate, implement, and manage legal technology solutions, including contract lifecycle management, legal service requests, e-billing, document management, and enterprise legal matter management.
- Automate legal reporting processes and develop self-service tools for accessing legal documents and data.
- Refine and tailor the organization’s legal data management platform (Legisway), centralizing and organizing data into a single source, ensuring data accuracy and accessibility for legal and business users.
- Plan and lead legal projects and cross-functional initiatives across departments with accountability for scope and deliverables; Lead communication and provide direction to project teams.
- Interface and collaborate with other departments within the organization.
Formation and Maintenance of Corporate Entities
- Responsible for the formation and maintenance of all legal entities, including preparation of organizational documents (articles of incorporation, bylaws, fictitious name registrations, foreign qualifications, license applications); checking formation availability and reserving entity name; drafting and filing of amendments to articles of incorporation, etc. Complete applications for conducting business under state and federal law, including applications for Employer ID Number.
- Draft corporate governance documents including resolutions, consents and minutes.
- Generate and maintain organizational charts, directors and officers lists, ownership data, and signature blocks.
- Maintain accurate database for the company and all related joint ventures and subsidiaries, including their respective organizational documents, registered agents, governing bodies, ownership, and other pertinent data.
- Manage compliance of Corporate Transparency Act requirements.
Litigation Matters
- Responsible for litigation notices (including service of process), litigation holds and tracking of claims.
- Responsible for updating and maintaining the company’s litigation/claims database.
- Track progress of litigation claims, potential claims and other matters
- Assist with legal reporting and generating litigation reports for various ownership groups.
- Collect internal information and assist in responding to auditors’ requests for information. Gather litigation and billing information to prepare draft responses to auditors' requests for information.
- Support corporate record retention and maintenance, including monitoring and ensuring compliance with electronic discovery.
Preparation Of Legal And Other Documents
- Draft and revise routine business agreements including confidentiality and vendor/procurement agreements and other documentation preparation and proofing under the supervision of the Associate Counsel.
- Review contracts, confidentiality agreements, policies and other corporate documents.
- Draft correspondence, abstracts, summaries, addenda, amendments.
- Review and edit legal forms and documents for accuracy.
- Draft and maintain closing/transaction checklists.
Education Requirements
- Bachelor’s degree from an accredited institution.
- Paralegal Certification required.
Experience Requirements (in Years)
- 10+ years of legal experience
- 5 years of experience in legal operations
Required Competencies/Licenses/Certifications
- Microsoft Suite competency.
- Strong knowledge of legal technology solutions and process automation.
- Notary Certification.
- Ability to operate autonomously with a positive, team-oriented attitude.

Physical Demands & Work Environment
- Must be mobile and able to perform the physical requirements of the job, bending, kneeling, stooping, pushing, pulling and repetitive motion.
- Ability to sit and work at a computer for long periods of time.
- Able to move intermittently throughout the workday and between divisions.
- Ability to lift/carry up to 30 lbs. and push up to 20lbs. as necessary.
Pay: $130,000-$155,000/annually + bonus
