Job Description
A multinational company in the utilities sector is looking for a LEGAL DIRECTOR for its subsidiary in Spain, with direct reporting lines to the General Management of Spain and the Legal Department of the Group. We are looking for a professional with proven experience in the legal field within a company whose clients are public administrations (public concessions).
Mission
- Advising the Executive Committee of the business unit in Spain -especially the CEO-, regarding all legal matters that affect the business, assessing the risks and potential consequences of the strategic decisions taken by the Company.
- Promoting and developing the legal actions that are required to be taken against third parties in defense of the Company’s interests.
Responsibilities
- Directing and coordinating the Company’s legal strategy, guaranteeing defense of the Company’s interests in any lawsuits that might arise.
- Monitoring the Company’s court cases and lawsuits, both directly and indirectly.
- Analyzing, initiating and dealing with administrative procedures and/or appeals against administrative decisions.
- Coordinating and supervising the external professionals from law firms.
- Drawing up and reviewing contracts and any other binding documents for the Company.
- Managing with the assistance of external law firms, potential company takeovers or the purchase of assets, M&A in Spain.
- Providing support throughout the development of the Company’s strategy regarding takeovers, mergers and tenders in Spain.
- Coordinating the procedures associated with the Company’s Corporate Law, especially with respect to submitting the annual statements, as well as relations with the Registers of Companies, Notaries’ Offices, etc.
- Analyzing the administrative documentation that constitutes the public contracting records that involve the Company and preparing the legal documentation required.
- Implementing and developing the strategic policies of the matrix in the legal area and keeping actions coordinated, reporting periodically.
Profile
- University Law Degree / Masters in Law.
- Excellent knowledge of Spanish Public Law and Corporate Law.
- Master in Administrative or Business Law / MBA etc. (positively rated requirements).
- English C Level.
- Experience more than 8 years, either in-house or in an international law firm.
- Sound knowledge of Procedural, Insurance, Corporate and Public Law.
- Expertise in sectors such as: Gas, Energy, Water, Infrastructure, Garbage or others with public concessions.
