As we continue to innovate and expand our reach, we're seeking an experienced Business Affairs leader who will lead commercial negotiations, provide strategic legal guidance and oversee all legal objectives across the organization.
Position Overview
Reporting to the CFO, you will be a key member of company leadership, responsible for developing and executing a business affairs and legal strategy aligned with the company’s business goals. The Director will initially roll up their sleeves to build out, implement, and execute scalable processes across the operational and corporate legal functions while nurturing cross-functional relationships with operating teams during the next phase of company expansion in an entrepreneurial, high-growth environment.
Initial Responsibilities
Business Affairs Leadership and Execution
- Strategic Partnerships and Business Development: Provide legal support during the negotiation and structuring of strategic deals, ensuring compliance with applicable laws and regulations. Lead transition to "in-house" ownership of our day-to-day commercial contract objectives and support department leaders in optimizing agreements, resulting in improved company financial performance
- Commercial Agreements: Draft, review, and negotiate a variety of commercial agreements, including vendor contracts, and service agreements ensuring alignment with company goals and risk management protocols. Provide ongoing support in contract administration, handling renewals, amendments, and terminations, while ensuring compliance with contractual obligations and business terms
- Content Licensing: Lead and negotiate licensing agreements, content acquisition, and distribution agreements to ensure proper legal protections are in place
- Strategic Investments: Support legal aspects of potential JVs, M&A, and new entity formation, including due diligence, drafting agreements, and post-transaction integration. Work closely with finance and external counsel on structuring transactions to protect the company’s interests
- IP Portfolio: Oversee the management and protection of the company’s intellectual property portfolio, including trademarks, copyrights, and patents
- Litigation/Claims: Manage all litigation and disputes, including oversight of outside counsel. Develop risk management strategies and advise the executive team on ways to minimize potential legal risks
Legal Operations and Administration
- Team Management: Supervise outside counsel, ensuring efficient use of legal resources and cost management. Cultivate a culture of legal compliance and risk management within the organization
- Corporate Governance: Oversee corporate governance matters, including preparing board meeting minutes, resolutions, and corporate filings, ensuring adherence to regulatory requirements. Advise senior management and the board on governance best practices, fiduciary duties, and evolving legal frameworks to ensure robust compliance and organizational transparency
- Compliance: Oversee compliance with all laws, including those related to health/safety, employment, intellectual property, data protection, etc., and ensuring regular risk assessments and mitigation strategies are in place. Develop and implement company-wide compliance policies and training programs to foster a culture of compliance and reduce exposure and risk in key operational areas
- Insurance Maintenance: Serve as a primary liaison with insurance carriers, managing the procurement and renewal of critical policies
- Labor and Employment: Advise and assist HR in properly documenting and resolving employment matters. Ensure compliance with workplace policies, procedures, and regulations
- Codify standard operating procedure documents, checklists and calendars that will be used to govern processes that ensure predictable, consistent and thorough completion of recurring deliverables
- Implement new policies and controls in close partnership with HR and Accounting leaders
Stakeholder Partnership
- Quickly develop and nurture positive working relationships with department leaders and external stakeholders
- Execute ad-hoc legal requests from functional teams and external business partners
- Train and manage future specialists and contractors by providing subject matter expertise, coordinating special projects, cross-training and other areas as needed
- Assist CFO in progressing the financial and operational roadmaps, priority company initiatives, and special projects
Required Qualifications
- 8-10+ years of progressive legal experience, in a combination of business affairs and corporate law roles
- 3+ years in-house at high growth, private equity- or venture-backed companies
- Prior corporate law firm experience at a top-tier firm
- Experience in the sports, media, entertainment, or digital media sectors
- JD required; admission to the bar and in good standing
- Hands-on legal management, with a willingness to roll up sleeves to design, implement, and execute basic operational legal processes
- Strong experience in corporate law, contract negotiation, intellectual property, labor and employment law, and regulatory compliance
- Significant experience working with private equity investors and familiarity with M&A transactions and complex corporate structures
- Strong communication and interpersonal skills with the ability to work cross-functionally and with senior leadership
- Proven ability to manage legal teams and external counsel
- Proven ability to handle complex legal issues and make pragmatic, business-focused decisions
- Experience with international legal matters and cross-border transactions
- Comfortable with ambiguity and thrives managing several projects, deadlines and stakeholders in a fast-paced, rapidly changing environment
- Transparent and effective oral and written communicator; comfortable communicating both concisely with executive audiences and in-detail with tactical audiences
- Interacts well with internal colleagues at all levels and across all business functions
- Ability to maintain confidentiality, exercise discretion with sensitive information, exercise sound judgment, and become a trusted advisor to senior management
