Corporate Paralegal

Job Description

AmLaw firm seeks a Corporate Paralegal with at least 5 years of experience to join their Corporate Practice Group.

Responsibilities

• Assist lawyers throughout the lifecycle of corporate transactions and prepare documents necessary to comply with federal, state and local regulations.
• Provide support in due diligence reviews.
• Coordinate closing of transactions, create and manage signature page packages and delivery of all documents and deliverables, confirm contents of appropriate closing checklists, assemble closing books with detailed indices, and handle other requirements at closing.
• Handle corporate and securities filings, including but not limited to Form D and state blue sky filings.
• Prepare, review and file UCC financing statements.

Requirements

• Bachelor's Degree or Associates Degree with a Paralegal Certificate
• 5 years of Corporate Law experience 
• Bluesky experience 
• Proficiency in Microsoft Office Suite
• Document management software experience
• Elite or other timekeeping software experience

Preferred Skills

• Ability to work overtime as needed

Compensation

$120,000-$140,000

Salary is based on a range of factors that include relevant experience, knowledge, skills, other job-related qualifications.
